    1. Agreement to Terms

    By accessing or using CentralContacts (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

    These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

    2. Description of Service

    CentralContacts is a cloud-based contact management platform that enables businesses and individuals to store, organise, and manage their professional contacts. The Service includes:

    • Contact storage and management
    • Organisation and tagging features
    • Team collaboration tools
    • Import and export functionality
    • User and role management

    3. User Accounts

    3.1 Account Creation

    To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

    3.2 Account Security

    You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

    3.3 Account Termination

    You may terminate your account at any time by contacting us or using the account deletion feature in your settings. We reserve the right to suspend or terminate your account if you violate these Terms.

    4. Acceptable Use

    You agree not to use the Service to:

    • Violate any applicable laws or regulations
    • Infringe upon the rights of others, including privacy and intellectual property rights
    • Upload or transmit viruses, malware, or other malicious code

    5.2 Responsibility

    You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights to upload your User Content and that it does not violate these Terms or any applicable laws.

    5.3 Data Protection

    If you upload personal data of third parties (such as contact information), you represent that you have the necessary consents and legal basis to do so in compliance with applicable data protection laws, including GDPR.

    6. Payment Terms

    6.1 Subscription Fees

    Certain features of the Service require payment of subscription fees. All fees are quoted in British Pounds (GBP) and are exclusive of applicable taxes unless otherwise stated.

    6.2 Billing

    Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Your subscription will automatically renew unless you cancel before the renewal date.

    6.3 Refunds

    Subscription fees are non-refundable except where required by law. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period.

    6.4 Price Changes

    We reserve the right to modify our pricing at any time. We will provide at least 30 days notice before any price changes take effect for existing subscribers.

    7. Intellectual Property

    The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of CentralContacts and its licensors. The Service is protected by copyright, trademark, and other laws.

    Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

    8. Disclaimer of Warranties

    THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

    9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTRALCONTACTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

    Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

    10. Indemnification

    You agree to indemnify, defend, and hold harmless CentralContacts and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

    11. Modifications to Terms

    We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date.

    Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

    12. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

    Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    13. Severability

    If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

    14. Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you andCentralContacts regarding your use of the Service and supersede all prior agreements and understandings.
